AGREEMENT TO OUR CREATOR TERMS

We are Studio K Made, LLC, doing business as Studio K Made (“Company,” “we,” “us,” or “our“), a company registered in United States at 300 county road 1835 Yantis, TX 75497.

We operate the marketplace website www.studiokmade.com (the “Site“) as well as any other related products and services that refer or link to these legal terms (the “Legal Terms“) (collectively, the “Services“).

We operate an online marketplace that connects creators and artisans with customers seeking unique, handmade, and creative products.

These Creator Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you,” “Creator“), and [Company Name], concerning your participation as a creator/vendor on our marketplace platform. You agree that by applying for and accepting creator status on the Services, you have read, understood, and agreed to be bound by all of these Creator Terms. IF YOU DO NOT AGREE WITH ALL OF THESE CREATOR TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM PARTICIPATING AS A CREATOR ON THE SERVICES.

These Creator Terms supplement and work in conjunction with our general Terms and Conditions for all users. In case of conflict between these Creator Terms and the general Terms and Conditions, these Creator Terms shall prevail for creator-related matters.

We reserve the right, in our sole discretion, to make changes or modifications to these Creator Terms from time to time. We will alert you about any changes by updating the “Last updated” date of these Creator Terms and by sending notice to your registered email address. It is your responsibility to periodically review these Creator Terms to stay informed of updates.

You must be at least 18 years old to participate as a Creator on our platform. If you are a business entity, you must have the legal authority to bind that entity to these terms.

1. CREATOR APPLICATION AND APPROVAL

Application Process: To become a Creator on our platform, you must submit a complete application including:

  • Valid government-issued identification
  • Business registration documents (if applicable)
  • Tax identification information
  • Portfolio or samples of products you intend to sell
  • Any additional documentation we may require

Approval Criteria: We reserve the right to approve or reject any Creator application at our sole discretion based on factors including but not limited to:

  • Product quality and uniqueness
  • Compliance with our platform standards
  • Legal and tax compliance
  • Background verification results

Conditional Approval: Creator approval is conditional and may be revoked at any time if you fail to maintain compliance with these terms or our platform standards.

2. CREATOR RESPONSIBILITIES AND OBLIGATIONS

As a Creator on our platform, you agree to:

Product Quality: Maintain high standards of craftsmanship and quality for all products listed on the platform.

Accurate Representation: Provide truthful, accurate, and complete descriptions and images of your products.

Legal Compliance: Ensure all products comply with applicable laws, regulations, and safety standards in your jurisdiction and the jurisdictions where products will be shipped.

Tax Obligations: Handle all applicable taxes, including but not limited to sales tax, VAT, income tax, and any other taxes related to your creator activities. You are solely responsible for determining your tax obligations and filing appropriate returns.

Business Licenses: Obtain and maintain any necessary business licenses, permits, or registrations required for your creator activities.

Insurance: Maintain appropriate insurance coverage for your creator activities, including product liability insurance where applicable.

Communication: Respond promptly and professionally to customer inquiries and platform communications.

3. PRODUCT LISTINGS AND CONTENT

Listing Standards: All product listings must include:

  • Clear, high-quality photographs showing the actual product
  • Detailed product descriptions including materials, dimensions, and care instructions
  • Accurate pricing and availability information
  • Appropriate categorization and tags

Content Ownership: You retain ownership of the content you create for product listings, but you grant us a worldwide, royalty-free license to display, reproduce, and distribute such content in connection with operating the platform.

Content Guidelines: All listing content must comply with our content guidelines and may not include:

  • Misleading or false information
  • Copyrighted material you don’t own
  • Inappropriate or offensive content
  • Promotional content directing customers away from our platform

Platform Rights: We reserve the right to edit, remove, or reject any product listings that don’t meet our standards.

4. PRICING AND COMMISSION STRUCTURE

Commission Rate: We charge a platform commission of 10% of the gross sale price of each item sold through our platform. You retain 90% of the gross sale price.

Additional Fees:

  • Payment processing fees will be deducted from payments to you
  • You are responsible for any taxes and shipping charges, which are passed through to you at 100%

Pricing Control: You have full control over setting your product prices, but prices must be competitive and fair market value.

Price Changes: You may modify your product prices at any time, but changes will only apply to future orders.

Commission Calculation: Commission is calculated on the gross sale price before taxes and shipping charges.

5. PAYMENT TERMS

Payment Schedule: Payments for completed orders will be processed according to the following schedule:

  • Payments will be issued on the last day of the month for orders completed before the 25th of each month (this gap allows time to ensure payments/orders are issued/shipped before payments are issued to creators).
  • Payments will be made to your designated bank account via ACH transfer or other agreed method

Payment Requirements: To receive payments, you must:

  • Provide valid banking information
  • Complete tax documentation (W-9 for US creators, W-8 for international creators)
  • Maintain account in good standing

Payment Holds: We may hold payments for orders that are:

  • Subject to customer disputes or returns
  • Under investigation for policy violations
  • Flagged for potential fraud or chargebacks
  • Orders not yet shipped on the cutoff date for payment calculations (the 25th of each month)

Currency: All payments will be made in USD unless otherwise agreed in writing.

6. ORDER FULFILLMENT AND SHIPPING

Fulfillment Responsibility: You are solely responsible for fulfilling all orders placed through our platform, including:

  • Processing orders within 15 business days (unless your item is on pre-order)
  • Packaging products securely and professionally
  • Shipping products to customers using trackable shipping methods
  • Providing tracking information to customers

Shipping Standards: You must:

  • Ship orders within the timeframe specified in your listing
  • Use appropriate packaging to prevent damage
  • Include any necessary documentation or care instructions
  • Comply with shipping regulations for your products

Processing Time: You must specify accurate processing and shipping times in your listings and consistently meet those timeframes.

International Shipping: If you offer international shipping, you are responsible for:

  • Compliance with international shipping regulations
  • Proper customs documentation
  • Any additional fees or restrictions

7. CUSTOMER SERVICE AND RETURNS

Customer Communication: You are responsible for providing customer service for your products, including:

  • Responding to customer questions within 72 hours (3 days)
  • Addressing customer concerns professionally
  • Resolving disputes in good faith

Return Policy: You must establish and clearly communicate your return policy, which must be at least as generous as:

  • 30 day return window for unused items
  • Full refund for damaged or defective items
  • Return shipping costs covered for items not as described
  • Be same or more strict than our general store policy here

Return Processing: You must process approved returns within 10 business days of receiving returned items.

Customer Disputes: We may step in to mediate customer disputes and our decision will be final.

8. INTELLECTUAL PROPERTY

Your IP Rights: You retain all intellectual property rights in your original creations and designs.

IP Warranties: You warrant that:

  • You own or have permission to use all intellectual property in your products
  • Your products don’t infringe on third-party IP rights
  • You have the right to sell your products through our platform

Platform License: You grant us a non-exclusive license to display your products and associated content on our platform and in our marketing materials.

IP Violations: You must not sell products that infringe on others’ intellectual property rights, including copyrights, trademarks, or patents.

9. PROHIBITED PRODUCTS AND ACTIVITIES

Prohibited Products: You may not sell:

  • Illegal items or items that promote illegal activities
  • Hazardous or dangerous materials
  • Items requiring special licenses you don’t possess
  • Counterfeit or unauthorized replica items
  • Adult content or materials
  • Items that violate platform policies

Prohibited Activities: You may not:

  • Manipulate reviews or ratings
  • Create multiple creator accounts
  • Direct customers to purchase outside our platform
  • Engage in price manipulation or unfair competition
  • Misrepresent your products or business
  • Violate any applicable laws or regulations

10. CREATOR ACCOUNT MANAGEMENT

Account Information: You must keep your account information current and accurate, including:

  • Contact information
  • Banking details
  • Tax information
  • Business registration details

Account Security: You are responsible for maintaining the security of your account credentials.

Account Monitoring: We may monitor creator accounts for compliance with these terms and platform policies.

Performance Standards: We may establish performance standards for creators, including:

  • Order fulfillment metrics
  • Customer satisfaction ratings
  • Response time requirements

11. PLATFORM POLICIES AND COMPLIANCE

Policy Updates: We may update our platform policies from time to time, and you agree to comply with all current policies.

Compliance Monitoring: We reserve the right to monitor your compliance with these terms and platform policies.

Violations: Violations of these terms may result in:

  • Warning notices
  • Temporary suspension of creator privileges
  • Permanent termination of creator account
  • Withholding of payments
  • Legal action

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Studio K Made, LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

  • Your products or services
  • Your violation of these Creator Terms
  • Your violation of applicable laws or regulations
  • Claims of intellectual property infringement related to your products
  • Product liability claims related to your products
  • Your interactions with customers

13. TERMINATION

Termination by You: You may terminate your creator account at any time.

Termination by Us: We may terminate your creator account immediately for:

  • Material breach of these Creator Terms
  • Violation of platform policies
  • Illegal activities
  • Fraud or misrepresentation
  • Failure to maintain required standards

Effect of Termination: Upon termination:

  • Your listings will be removed from the platform
  • You must fulfill any pending orders
  • We will pay out any earned commissions after applicable hold periods
  • You must cease using our platform services

14. DISPUTE RESOLUTION

Informal Resolution: We encourage resolving disputes through direct communication first.

Mediation: If informal resolution fails, disputes may be submitted to mediation.

Arbitration: Any disputes not resolved through mediation shall be resolved through binding arbitration in through an arbitration organization in Texas, USA.

Governing Law: These Creator Terms are governed by the laws of Texas, USA.

15. MISCELLANEOUS

Independent Contractor: You are an independent contractor, not an employee or agent of Studio K Made, LLC.

No Exclusivity: Unless otherwise agreed in writing, you may sell your products through other channels.

Force Majeure: Neither party will be liable for delays or failures due to circumstances beyond their reasonable control.

Severability: If any provision of these Creator Terms is found invalid, the remaining provisions will continue in effect.

Entire Agreement: These Creator Terms, together with our general Terms and Conditions and Privacy Policy, constitute the entire agreement between you and Studio K Made, LLC regarding your participation as a creator.
